1. Use of Website
1.1 All Web Site Content is the property of the Security Register or its content suppliers or clients. The compilation (meaning the collection, arrangement and assembly) of all content on this Web Site is the exclusive property of Security Register and protected by copyright laws. Unauthorised use of the Web Site Content may violate copyright, trademark and other laws. You must retain all copyright, trademarks, service-marks and other proprietary notices contained in the original Web Site Content on any copy you make of the Web Site Content. You may not sell or modify the Web Site Content or reproduce, display, publicly perform, distribute or otherwise use the Web Site Content in any way for any public or commercial purpose. The use of the Web Site Content in a networked computer environment for any purpose is prohibited.
1.2 You must not attempt to undermine the security of the Site or any information submitted to or available through it. In particular, but without limitation, you must not seek to interfere in any way with the operation of this Site or attempt to decipher, copy, modify or adapt any of the software, coding or information comprised in the site.
1.3 You are solely responsible for any and all information submitted by you to this Site. You are solely responsible for ensuring that all information supplied by you is true, accurate, up to date and not misleading or likely to deceive and that it is not discriminatory, obscene, offensive, defamatory or otherwise illegal, unlawful or in breach of any applicable legislation, regulations, guidelines or codes of practice or the copyright, trademark or other intellectual property rights of any person in any jurisdiction. You are also responsible for ensuring that all information, content, data and files are free of viruses or any software that may damage or interfere with any part of the Site prior to being submitted to the Site.
1.4 The Security Register reserves the right to remove any information supplied by you from the Site at our sole discretion, at any time and for any reason without being required to give any explanation or notice.
2. Specific Prohibited Uses
2.1 The Security Register specifically prohibits any of the following:
- Posting or submitting any incomplete, false or inaccurate biographical information or information which is not your own.
- Posting any franchise, pyramid scheme, "club membership", distributorship or sales representative agency arrangement or other business opportunity which requires an upfront or periodic payment, pays commissions only (no significant salary), requires recruitment of other members, sub-distributors or sub-agents.
- Using the Security Register CV database for any purpose other than as an employer seeking employees for specific jobs including, but not limited to, using the information in the CV database to sell or promote any products or services or to source people to join a franchise, pyramid scheme, club membership¯, distributorship or sales representative agency arrangement or other business opportunity that requires an upfront or periodic payment, pays commissions only (no significant salary), requires recruitment of other members, sub-distributors or sub-agents.
- Sending unsolicited mail or e-mail, making unsolicited phone calls or sending unsolicited faxes regarding promotions and/or advertising of products or services to a user of the Security Register.
- Deleting or revising any material posted by any other person or entity.
- Using any device, software or routine to interfere or attempt to interfere with the proper working of Security Register or any activity being conducted on this Web Site.
- Taking any action which imposes an unreasonable or disproportionately large load on the Web Site.
- If you have a password allowing access to a non-public area of this Web Site, disclosing to or sharing your password with any third parties or using your password for any unauthorised purpose.
- Notwithstanding anything to the contrary contained herein, using or attempting to use any engine, software, tool, agent or other device or mechanism including, without limitation, browsers, spiders, robots, avatars or intelligent agents to navigate or search Security Register other than the search engine or agents available from Security Register and other than generally available third party web browsers (e.g., Netscape Navigator, Microsoft Explorer).
- Attempting to decipher, decompile, disassemble or reverse engineer any of the software comprising or in any way making up a part of the Web Site.
- Aggregating, copying or duplicating in any manner any of the Web Site Content or information contained within it.
- Framing of or linking to any of the Web Site Content or information available from Security Register.
3. User information
3.1 When you register for the Web Site, you will be asked to provide the Security Register with certain information including, without limitation, a valid email address (your "Information"). In addition to the terms and conditions that may be set forth in any privacy policy on this Web Site, you understand and agree that the Security Register may disclose to third parties, on an anonymous basis, certain aggregate information contained in your registration application. The Security Register will not disclose to any third party your name, address, e-mail address or telephone number without your prior consent, except to the extent necessary or appropriate to comply with applicable laws or in legal proceedings where such information is relevant. The Security Register reserves the right to offer third party services and products to you based on the preferences that you identify in your registration and at any time thereafter; such offers may be made by Security Register or by third parties.
4. Links to other sites
4.1 On this site you will be offered automatic links to other sites which we hope will be of interest to you. We do not accept any responsibility for or liability in respect of the content of those sites, the owners of which do not necessarily have any connection, commercial or otherwise, with us. Using automatic links to gain access to such sites is entirely at your own risk.
5. Information on this site
5.1 Whilst we make every effort to ensure that the information on this site is accurate and complete, some of the information is supplied to us by third parties and we are not able to check the accuracy or completeness of that information. We do not accept any liability arising from any inaccuracy or omission in any of the information on this site or any liability in respect of information on this site supplied by you, any other site user or any other person.
5.2 The Security Register is only a venue and does not propose or introduce work-seekers to recruiters or vice versa, it is recommended that, if you are a work-seeker you undertake the steps set out in the Regulations to ensure your suitability for the role advertised or, if you are a recruiter, to ensure a work-seeker's suitability for the role.
5.3 These could include:
5.4 If you are a work-seeker; checking the identity of the recruiter and the nature of its business, the commencement date and duration of the position, the position to be filled including type of work, location, hours and risks to health and safety, experience, training, qualifications and authorisation which the recruiter considers necessary or are required by law or otherwise to undertake the position, whether any expenses are payable by you as a work-seeker or whether there are any requirements imposed by law or otherwise for you to satisfy before taking up a position.
5.5 If you are a recruiter; checking the identity of the work-seeker and that the work-seeker has the experience, training, qualifications and authorisation required by law or otherwise for the position and whether there are any requirements imposed by law or otherwise for you, as the recruiter, to meet to enable a work-seeker to take up a position.
5.6 Any searching or screening tools provided by us for use in your assessment of the suitability or otherwise of any particular candidate or advertised vacancy are to assist you in taking these steps, but are not intended as a substitute.
6. Content rights
6.1 The rights in material on this site are protected by international copyright, software and trademark laws and you agree to use this site in a way which does not infringe these rights. You may copy material on this site for your own private or domestic purposes, but no copying for any commercial or business use is permitted.
7. No resale or unauthorised commercial use
7.1 You agree not to resell or assign your rights or obligations under these Term and Conditions. You also agree not to make any unauthorised commercial use of any part of the Security Register.
8. Security or passwords
8.1 In order to register with the Site and to sign in when you visit the Site, you will need to use a user name and password. You are solely responsible for the security and proper use of your password, which should be kept confidential at all times and not disclosed to any other person. You must notify the Security Register immediately if you believe that your password is known to someone else or if it may be used in an unauthorised way. The Security Register accepts no liability for any unauthorised or improper use or disclosure of any password.
9. Termination
9.1 The Security Register may terminate your registration and/or deny you access to the site or any part of it (including any services, goods or information available on or through the site) at any time in our absolute discretion and without any explanation or notification.
10. Liability
10.1 The Security Register has no control over the quality, safety or legality of the jobs or CV's posted, the truth or accuracy of the listings, the ability of employers to offer job opportunities to candidates or the ability of candidates to fill job openings. In addition, note that there are risks including, but not limited to, the risk of physical harm, of dealing with strangers, foreign nationals, underage persons or people acting under false pretences. You assume all risks associated with dealing with other users with whom you come in contact through the Web Site.
10.2 The Security Register cannot and does not confirm that each user is who they claim to be. Because we do not and cannot be involved in user-to-user dealings or control the behaviour of participants, in the event that you have a dispute with one or more users, you release Security Register (and our agents and employees) from claims, demands and damages (actual and consequential, direct and indirect) of every kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way connected with such disputes.
10.3 We are under no legal obligation to, and generally do not, control the information provided by other users which is made available through the Web Site. By its very nature, other people's information may be offensive, harmful or inaccurate and in some cases will be mislabelled or deceptively labelled. In particular, you agree to accept that comments posted on the forum are entirely the view of the member and not the Site. We expect that you will use caution and common sense when using the Web Site.
10.4 The Web Site Content may contain inaccuracies or typographical errors. The Security Register makes no representations about the accuracy, reliability, completeness or timeliness of the Web Site or the Web Site Content. The use of the Web Site and the Web Site Content is at your own risk. Changes are periodically made to the Security Register and may be made at any time.
10.5 You acknowledge and agree that you are solely responsible for the form, content and accuracy of any CV or material contained therein placed by you on the Security Register. Employers are solely responsible for their postings on the Security Register.
10.6 The Security Register is not to be considered to be an employer with respect to your use of the Site and we shall not be responsible for any employment decisions, for whatever reason made, made by any entity posting jobs on the Site.
10.7 The Security Register does not warrant that the web site will operate error free or that the web site and its server are free of computer viruses or other harmful mechanisms. If your use of our site or the web site content results in the need for servicing or replacing equipment or data, the Security Register is not responsible for those costs.
10.8 The Security Register and its Web Site content are provided on an "as is" basis without any warranties of any kind. The Security Register, to the fullest extent permitted by law, disclaims all warranties, whether expressed or implied, including the warranty of merchantability, fitness for particular purpose and non infringement with respect to our services or the functionality, performance or results thereof. The Security Register makes no warranties about the accuracy, reliability, completeness or timeliness of the material, Web Site, Web Site content, services, software, text, graphics and links.
11. Limitation and liabilty
11.1 To the extent permitted by law, the Security Register's maximum liability arising out of your use of the Web Site content, regardless of the cause of action(whether in contract, tort, breach of warranty or otherwise), will not exceed £1.
12. Disclaimer of consequential damages
12.1 To the extent permitted by law, in no event shall the Security Register, its employees, agents, suppliers or any third parties be liable for any damages whatsoever (including, without limitation, incidental and consequential damages, lost profits, loss of business or damages resulting from lost data or business interruption) resulting from the use or inability to use the site and the Web Site content, whether based on warranty, contract, tort, or any other legal theory, and whether or not the Security Register is advised of the possibility of such damages.
13. Indemnity
13.1 You agree to defend, indemnify and hold harmless the Security Register, its officers, directors, employees, staff and agents from and against any claims, actions or demands including, without limitation, legal and accounting fees, alleging or resulting from (i) any material you provide to the Security Register, (ii) any Web Site Content that you use or (iii) your breach of the terms of these Terms and Conditions.
14. General
14.1 The use of this website and any agreements entered into through this website are to be governed by and construed in accordance with English law. The courts of England are to have exclusive jurisdiction to settle any dispute arising out of or in connection with the use of this website or any agreement made through this website.
14.2 The Security Register makes no claims that the Web Site Content may be lawfully viewed or downloaded outside of the United Kingdom. Access to the Web Site Content may not be legal by certain persons or in certain countries. If you access the Web Site from outside of the United Kingdom, you do so at your own risk and are responsible for compliance with the laws of your jurisdiction. Some of the goods or services offered through this website may not be lawful or may otherwise not be permitted in certain countries outside the United Kingdom. If you attempt to order, receive, purchase or otherwise benefit from any such goods or services, we do not accept any liability for any losses suffered by you in using this website which you would not have suffered had you been accessing this website as a United Kingdom resident (including as a result of us being prevented from dealing with any application or enquiry by any law, regulation or other ruling applicable in any country).
15. Changes to terms and conditions and ivalidity
15.1 These website terms and conditions may be changed by us at any time without notice or explanation. If any provision of these terms and conditions is held to be invalid by a court of competent jurisdiction, such invalidity shall not affect the validity of the remaining provisions, which shall remain in full force and effect.
Business terms and conditions
The following Terms and Conditions are deemed to be accepted by the Client when the Services of the Security Register have been accessed by the Client or upon the Clients successful submission of an order for Services. The terms "You" and "User" as used herein refer to all individuals and/or entities using the services of Security Register. The terms "We", "Us"¯ and "Our" refer to the Security Register and shall be construed accordingly.
1. Definitions
1.1. In these Conditions the following words and phrases shall have the following meanings unless the context requires otherwise:
ADVERTISEMENT - Any form of Advertisement as shall appear on the Security Register Site.
ADVERTISING AGENCY - A Client who in relation to the Services is receiving them on behalf of an End Client or is directly or indirectly providing the Services on to an End Client.
APPLICANT - A Candidate who applies for a vacancy advertised on the Site.
CANDIDATE - A person who uses the Site for the purpose of finding employment.
CLIENT - Any person using and purchasing Security Register Services, where a person includes but is not limited to, Direct Employers, Recruitment Agencies, Recruitment Process Outsourcing Agencies and Advertising Agencies . In the circumstance of any Recruitment, Recruitment Process Outsourcing or Advertising Agency acting on behalf of one of their own End Clients, Security Register will charge the Agency and not the Agency's End Client.
CONDITIONS - These Standard Terms and Conditions.
CONTRACT - The contract for the supply of any Services by the Security Register to the Client comprising these Conditions.
CORPORATE BROCHURE - A web page which contains text, graphics, data, files and links which are used to promote a corporate message.
CV - The curriculum vitae of a Candidate's education, training, skills and employment experience which is provided to the Security Register by a Candidate for distribution to Clients with a view to finding employment.
CV DATABASE - The database of CVs belonging to the Security Register.
DIRECT EMPLOYER - A Client who in relation to the Services is receiving them for the purpose of their own recruitment needs and not on behalf of any other 3rd party End Client.
END CLIENT - The person to whom the Client's Services are provided.
FEES - The fees and charges payable by the Client as specified in the Contract.
RECRUITER - Any person working on behalf of the Advertising Agency, Direct Employer or Recruitment Agency Client and who is authorised by the Client to use the Services.
RECRUITMENT AGENCY - An Employment Agency or Employment Business as defined by the Employment Agencies Act 1973 (and all regulations made there under).
RECRUITMENT PROCESS OUTSOURCING AGENCY - A Recruitment Agency who also carry out the selection and placement process on behalf of the End Client.
SERVICES - The Services which the Security Register has agreed to provide to the Client.
SITE - The Security Register website.
TERM - The term of the Contract.
WORKSEEKER - A person who uses the Site to find employment.
2. General
2.1. The Client agrees to provide the Security Register, in such a format as we may request, all information and graphics necessary to enable us to provide those Services.
2.2 The Security Register shall not be obliged to provide those Services until the Client has supplied it with all information necessary to provide those Services.
2.3 Advertisements will become live on the Site only when the Security Register has approved the design work, set-up, artwork and logos. If a Client has been authorised to approve any design work, artwork or logos on behalf of the End Client, then the Client must provide proof of this in writing to Security Register on request.
2.4 The Security Register shall make such modifications to any Advertisement as are reasonably requested by the Client provided that the Security Register reserves the right to charge at the rate of 60 Pounds Sterling per hour for the time involved in connection with such modifications.
2.5 Once an Order form for Services has been submitted by the Client, the resulting Contract remains in force for the full duration of the Term specified on the Order form and may not be cancelled by the Client.
2.6 The Client may remove an Advertisement from the Site before the Advertisement has reached its expiry date, but shall not be entitled to a refund for the time not used. The Client may extend the term of an Advertisement provided they have purchased a sufficient quota of the relevant Service.
2.7 If any Services which are to be used within a period of time specified in the Contract are not used within that period of time, then in each case the Client shall still be responsible for the full payment of the invoiced amount as if the Services had been properly and fully provided. The Security Register shall not be liable for providing any unused Services and such Services may not be carried over to any subsequent period.
2.8 The Security Register reserves the right, without giving any reasons, to decline, cancel or remove any Advertisement or provision of Services for any reason and at any time without prior notice.
2.9 An Advertisement or Service which indicates, or can reasonably be understood as indicating, an intention to discriminate on grounds of sex, race or age will not be accepted unless it is exempted from the requirements of the Sex Discrimination Act or the Race Relations Act or the Age Discrimination Act. A statement must be made at the time the Advertisement is placed or Service used saying which of the exemptions in the Act(s) is considered to apply.
2.10 The Security Register will use its reasonable endeavours to publish the Advertisement or provide the Services on the agreed date. Security Register does not accept liability for any consequences, howsoever arising, due to error or delay in provision of the Services and has the right at its sole discretion to decline to publish or omit, suspend or change the position of any Advertisement accepted by it.
2.11 Links to a Client's or End Client's website will not be permitted to appear in any Advertisement placed, with the exception of Corporate Brochures, or Service used by the Client without our prior consent.
2.12 The Security Register may at its discretion and without prior notice, report any Advertisement or Service used which in its reasonable opinion is being used for an improper or illegal purpose by a Client to the relevant authorities. The Security Register may also disclose information about any Client to any third party, as we deem necessary to protect its interests or the interests of Clients, Recruiters, Candidates, Applicants and/or other users of the Site.
2.13 The Security Register shall be entitled at anytime without notifying the Client to make changes to the Services, which are necessary to comply with any applicable security or other statutory requirements and shall determine the manner in which the Services are provided.
2.14 The Security Register will only make available or supply copies of the CVs that have been received by it for distribution to Clients of Security Register solely for the purpose of securing suitable employment for the Candidates.
2.15 The Security Register may request Advertising to be amended so that the Advertisement contrasts suitably with the site.
2.16 Banner Advertisements will be static banners. Security Register will not accept any banners produced in Flash graphics except by prior arrangement.
3. Commencement of Services
3.1 We will not commence the provision of Services pursuant to any order until the order has been correctly submitted to us and in a form approved by us.
4. CV Services
4.1 If the Services provided to the Client by the Security Register include CV Services, the provisions of this clause 4 shall apply thereto.
4.2 The CV Database is to be accessed and used solely by the Client. The Client may not provide their password or otherwise permit access to the CV Database to any third party. The Client may not provide or distribute such CVs to any third party. The Client is solely responsible for protecting and keeping their password confidential.
4.3 The Client may not use the CV Database in any way which, in our reasonable judgment, adversely affects Security Register business or business prospects, the performance or function of the Site or the CV Database or interferes with the ability of other members.
4.4 The Client may not use the CV Database for any purpose other than as an employer seeking employees, including but not limited to using the information in the CV Database to sell or promote any products or services.
4.5 Database rights and all other applicable copyright and intellectual property rights in the CV database belong to the Security Register. You acknowledge that you do not acquire any rights in the database or its content and that your retention and use of any part of the database and its content is governed by these terms and conditions.
4.6 The Client acknowledges that the Security Register operates as a venue only and does not introduce or supply work-seekers to recruiters (or vice versa). This means that we do not:
4.6.1 Obtain sufficient information for potential recruiters to select a suitable work-seeker for the position which the recruiter seeks to fill.
4.6.2 Obtain confirmation of the identity of a work-seeker or that they have the experience, training, qualifications or authorisation to work in the position to be filled or that they wish to undertake the role to be filled.
4.6.3 Take any steps to ensure the work-seeker and recruiter are each aware of any requirement imposed by law or otherwise which must be satisfied by either of them to permit the work-seeker to fulfil the position to be filled.
4.6.4 Take any steps to ensure that it would not be detrimental to the interests of the work-seeker or the recruiter for the work-seeker to fulfil the position to be fulfilled.
4.6.5 Give any indication to recruiters whether work-seekers are unsuitable (or suitable) for any position to be filled in any circumstances.
4.6.6 Propose work-seekers to recruiters or provide any information about them.
4.6.7 Take up any references in relation to a work-seeker.
4.6.8 Make any arrangements for accommodation of work-seekers.
4.6 The Security Register is only a venue and does not propose or introduce work-seekers to recruiters or vice versa, it is recommended that, if you are a work-seeker you undertake the steps set out in the Regulations to ensure your suitability for the role advertised or, if you are a recruiter, to ensure a work-seeker's suitability for the role.
4.6.1 These could include:

4.6.3 If you are a recruiter; checking the identity of the work-seeker and that the work-seeker has the experience, training, qualifications and authorisation required by law or otherwise for the position and whether there are any requirements imposed by law or otherwise for you, as the recruiter, to meet to enable a work-seeker to take up a position.
4.6.4 Any searching or screening tools provided by us for use in your assessment of the suitability or otherwise of any particular candidate or advertised vacancy are to assist you in taking these steps, but are not intended as a substitute.
4.7 The client understands and fully accepts that:
4.7.1. By purchasing the contact details of a member of the Security Register, they will be supplied with a valid email address and contact telephone number for that member only. No guarantees or assurances, whether expressed or implied, are given that any particular member has kept these contact details up to date or that the client will receive any response from the member.
4.7.2. It is the responsibility of the member alone to ensure that his or her availability status is kept up to date. No assurances or guarantees, whether expressed or implied, are given that a member of the Security Register will be available for work should a client purchase their contact details with a view to offering employment.
5. Obligation of Security Register
5.1 The Security Register will use its reasonable endeavours to enable Candidates the facility of viewing the Clients' Advertisements on the Site and to provide the Services to the Client. However, the Client accepts that the Security Register cannot guarantee the number of occasions on which any individual Advertisement appears on the Site and that no obligations are imposed on Security Register in this regard.
6. Obligation of the client
6.1 The Client hereby undertakes and warrants to the Security Register:
6.1.1 To use all reasonable precautions against access of the Site (or any website that is, or may become linked to any website) by any unauthorised persons, including but not limited to, the use of user names and passwords and the securing of information relating to communications between the Client's hardware and the rest of the Site.
6.1.2 To comply with the provisions of the Data Protection Act 1998 or relevant legislation with regard to any Applicant information received by it and in particular to keep such information confidential.
6.1.3 In relation to any Advertisement, the Client is a principal notwithstanding that the Client may be acting directly or indirectly for a third party.
6.1.4 The reproduction and/or publication of the Advertisement by the Security Register as originally submitted or as amended will not breach any agreement or infringe or violate any right of any person or render Security Register liable to any proceedings whatsoever and the Client indemnifies the Security Register against all costs, claims, damages, loss, expenses and liabilities suffered or incurred by the Security Register as a result of this undertaking and warranty being incorrect.
6.1.5 Any information supplied by the Client in connection with the provision of the Services is accurate, complete and true.
6.1.6 In respect of any Advertisement which contains the name or pictorial representation (photographic or otherwise) of any living person and/or any part of any living person and/or any copy by which any living person is or can be identified the Client has obtained the authority of such living person to make use of such name, representation and/or copy.
6.1.7 Each Advertisement is legal, decent, honest and truthful and complies with all applicable laws, rules, regulations and codes relating to advertising as may be appropriate.
6.1.8 No Advertisement contains any data, image or other material which;
(a) Is offensive, obscene or indecent, or capable of being resolved into obscene or indecent images or material.
(b) Is defamatory, threatening or racially, ethnically or otherwise objectionable.
(c) Is designed or likely to cause annoyance, inconvenience, unwanted attention or needless anxiety to any other person.
(d) Infringes the rights (including, without limitation, the intellectual property rights) of another person.
(e) Is designed or likely to cause disruption to any computer system or to any network.
(f) Is illegal or designed or likely to induce an illegal act.
6.2 The Client is responsible for ensuring that the content of any Advertisement and the use of the Services is not discriminatory, obscene, defamatory, or in any other way illegal or in breach of any legislation. The Client also agrees to comply with all relevant industry Codes of Practice.
6.3 The Client acknowledges that it is not vested with any proprietary rights in respect of the Site, or any CV or other information submitted by any Applicant.
6.4 The Client shall indemnify the Security Register against all claims made by the third parties in respect of the misuse of the data supplied to the Client.
6.5 The Client shall obtain from the Applicant, as much information about the Applicant's qualifications and experience, as is necessary for determining whether the Applicant is suitable for employment, and shall ascertain that the Applicant has such qualifications as are required by law.
6.6 The Client shall ensure that the Applicant is fully aware of any conditions imposed by law, which must be satisfied by the Applicant and that any resulting employment shall be legal.
6.7 The Client agrees not to employ, or make arrangements to employ, a young person (being a person under the age of 18) who is attending, or has ceased to attend school, unless the Client has made all such enquiries as are reasonably practicable for the purposes of ascertaining that the young person has received vocational advice.
6.8 The Client shall:
6.8.1 Use all CVs supplied for the sole purpose of endeavouring to provide or locate suitable employment on behalf of Candidates.
6.8.2 Ensure that it is notified as a data controller to the Office of the Information Commissioner under the Data Protection Act 1998 to the extent that it applies and complies with its obligations under that Act.
6.8.3 Keep confidential the CVs and all other information supplied by the Security Register or Candidates to the Client or its employees or agents and shall only use such information for such agreed purpose if endeavouring to seek or provide employment opportunities for Candidates with their express consent in respect of the CVs.
6.8.4 Obtain the express consent of a Candidate prior to submitting his or her CV to any person.
6.8.5 Not submit, copy, supply, re-sell, distribute or make available in any way any CVs or other information received from the Security Register to any person provided that where the Client is a Recruitment Agency it may make CV's available to its genuine End Clients who intend to recruit such Candidates for their own employment.
6.9 The Client:
6.9.1 Acknowledges that the Client and the Security Register may agree that Security Register can accept instructions in relation to the Services (without having to refer to the Client) from any of the following persons;
(a) any person agreed between the Security Register and the Client to be a Recruiter; and
(b) any person to whom the Client or any Recruiter provides passwords to or is set up to make use of the Services by using facilities offered by the Security Register for such purposes.
6.9.2 Authorises the Security Register to accept instructions in relation to the Services (without having to refer to the Client) from any Recruiter and any person using such passwords.
7. Liability
7.1 The Security Register does not verify or guarantee any Applicant's details whether forwarded to the Client via the Security Register or otherwise. The Security Register accepts no responsibility as to the suitability of Applicants who respond to Advertisements or Services.
7.2 The Client shall satisfy itself as to the suitability of any Applicant and shall take up any reference provided by the Applicant before engaging any such Applicant.
7.3 The Client shall be responsible for obtaining work, or any other permits, for the arrangements of medical examinations and/or investigations into medical history of any Applicant, and shall satisfy itself of any medical or other requirements or qualifications required by law.
7.4 The Security Register does not accept liability of any description, including liability for negligence or any damages or losses (including, but without limitation to indirect or consequential loss, or loss of business, revenue, profits, use or opportunity) howsoever resulting from the Client's use of (or inability to use) this Site.
7.5 The Security Register makes no warranty that this Site (or any website that is, or may become linked to this website) is free from computer viruses, "cookies", or any other malicious or impairing computer programmes and/or that the Site shall operate uninterrupted and error-free.
7.6 The Security Register does not accept liability, of any description, however arising, for any loss or damage caused to any Client, or any other third party, arising from any virus or other impairing computer program contained in any CV submitted by any Applicant.
7.7 The Security Register does not accept liability for:
7.7.1 Any loss of copy, artwork, photographs, data or other materials that the Client supplies to Security Register and the Client shall be responsible for retaining in its possession sufficient quality and quantity of such materials for whatsoever purposes it may require.
7.7.2 Any mistakes or errors whatsoever that arise during the course of publication of any Advertisement or any loss of information, data or any damage thereto in each case as a result of circumstances beyond its reasonable control or which arise as a result of the acts or omissions of the Client.
8. Rates
8.1 Prices are guaranteed for the period stated on the website. Prices are confidential and may not be disclosed by the Client.
9. Payment and invoice procedure
9.1 All payment for services will be due within 28 days from the date on the invoice.
9.2 If the Client fails to make any payment by the due time then all moneys owing by the Client to the Security Register shall immediately become due and payable and the provisions of clause 9.4(b) shall forthwith apply to such moneys.
9.3 The Security Register will provide invoices to each Client for services provided. Liability for payment arises from provision of the Services. Further, all items on the invoice are deemed to be payable and any errors or omissions must be communicated to Security Register in time to be rectified before payment becomes due.
9.4 The Client agrees to pay to the Security Register in respect of each item of Services for which payment is not made by the due time:
(a) The sum of £25.00 as an administration charge; and
(b) Interest on the amount paid late at the rate of 5% per annum above the base rate of HBOS PLC accruing from day to day (including the date on which payment was due) both before and after judgment.
(c) Reasonable debt recovery costs.
9.5 All sums due in respect of the Fees are exclusive of any value added tax or other applicable sales tax, for which the Client shall be additionally liable.
10. Security and passwords
10.1 You are solely responsible for the security and proper use of your password, which should be kept confidential at all times and not disclosed to any other person. You must notify the Security Register immediately if you believe that your password is known to someone else or if it may be used in an unauthorised way. The Security Register accepts no liability for any unauthorised or improper use or disclosure of any password.
11. Indemnity
11.1 The Client agrees to indemnify the Security Register and to keep the Security Register indemnified in respect of, but not limited to, all damages, costs or liabilities that the Security Register may incur arising from an Advertisement or use of any Service, and in particular resulting from the following:
11.1.1. The publication of any defamatory statement.
11.1.2 Breach of copyright.
11.1.3 Any claims made by any person in respect of race, religion, age, sex or disability discrimination.
11.1.4 Any breach by the Client of any warranty given hereunder.
12. Disclaimer
12.1 Except as otherwise provided by statute, the Security Register disclaims all warranties, express or implied by law of statute, in relation to, but not limited to, the Site.
13. Changes to terms and conditions and validity
These website terms and conditions may be changed by us at any time without notice or explanation. If any provision of these terms and conditions is held to be invalid by a court of competent jurisdiction, such invalidity shall not affect the validity of the remaining provisions, which shall remain in full force and effect.
14. Governing law and jurisdiction
14.1 The use of this website and any agreements entered into through this website are to be governed by and construed in accordance with English law. The courts of England are to have exclusive jurisdiction to settle any dispute arising out of or in connection with the use of this website or any agreement made through this website.
15. Authority
15.1 The Client warrants that the person accepting this Agreement has full right and authority to enter into this Agreement on the Clients behalf.
16. No assignment
16.1 You may not assign this Agreement or any of your rights hereunder. Any such attempted assignment shall be null and void.
